For regulatory programs, your organization may have a separate agreement that supplements or overrides parts of these Terms.
Staff & operations
The platform is built for authorized personnel managing annual checkup workflows—not for emergency care or clinical decision-making.
Data & privacy
Health-related information is handled in line with our Privacy Policy. You are responsible for lawful collection and use within your organization.
Fair use
Accounts, API access, and exports must be used proportionately. Abuse, scraping, or credential sharing may result in suspension.
These Terms & Conditions (“Terms”) govern access to and use of the Averos Health websites, applications, APIs, and related services (collectively, the “Services”) operated by Averos Health and its affiliates (“we”, “us”, or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.
You must notify us promptly of any unauthorized use. We may require multi-factor authentication, password rotation, or other controls where appropriate for security or compliance.
We reserve the right to refuse registration, suspend, or terminate Accounts that violate these Terms or present security risk.
Subject to these Terms and any applicable order form or agreement with your Customer, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations related to annual checkup coordination and administration.
You may not sublicense, sell, resell, or commercially exploit the Services except as expressly permitted in writing.
You agree not to:
The Services may be used to coordinate health screening programs. You acknowledge that your organization—not Averos Health—is typically the controller of personal and health-related data you enter, subject to your policies and applicable law.
You represent that you have obtained any necessary consents, authorizations, and lawful bases required for processing such data through the Services.
Averos Health is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified health providers with questions regarding a medical condition.
Our Privacy Policy describes how we collect, use, and disclose information. It is incorporated into these Terms by reference. Please review it in full before using the Services.
Open Privacy PolicyThe Services, including software, branding, documentation, and templates, are protected by intellectual property laws. Except for the limited license above, no rights are granted to you.
You retain ownership of Content you submit. You grant us a worldwide, royalty-free license to host, process, transmit, and display Content solely to provide, secure, and improve the Services.
The Services may integrate with third-party platforms (for example, identity, hosting, analytics, or communications). Your use of those services may be subject to separate terms. We are not responsible for third-party services beyond our reasonable control.
We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable.
We may update these Terms from time to time. Material changes will be communicated via the Services or email where appropriate. Continued use after the effective date constitutes acceptance.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Averos Health, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our aggregate liability for claims arising out of or related to these Terms shall not exceed the greater of (a) the amounts paid by you to us for the Services in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100) if no fees apply—unless a higher cap is mandated by applicable law.
You will defend, indemnify, and hold harmless Averos Health and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your Content, your use of the Services, or your violation of these Terms or applicable law.
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, legal risk, non-payment (if applicable), or extended inactivity as described in your agreement.
Upon termination, your right to use the Services ceases. Provisions that by their nature should survive—including confidentiality, disclaimers, limitation of liability, indemnity, and governing law—will survive.
These Terms are governed by the laws applicable in the jurisdiction agreed in your written contract with Averos Health, or if none is specified, by the laws of the jurisdiction in which Averos Health is established—without regard to conflict-of-law principles.
The parties will attempt in good faith to resolve disputes informally before initiating formal proceedings, except where injunctive relief is sought to protect rights or security.
For questions about these Terms, contact your organization’s administrator or reach us through the official contact channels published on our website.
